1 Acceptance of Terms

These Terms of Use govern your use of the Darsh IT Solutions Pvt. Ltd. website, portal, and related services. If you do not accept these terms in full, you must immediately stop using our website and services.

These terms apply to all visitors, registered users, clients, vendors, partners, and anyone else who interacts with our digital or physical services.

2 Permitted Use

You may use our website for lawful business and personal purposes. You agree not to:

• Violate any applicable laws or regulations of India or your jurisdiction
• Attempt to gain unauthorised access to our systems, servers, portal, or databases
• Scrape, harvest, or collect any data from our site using automated bots or tools without written consent
• Redistribute, resell, or sub-license our products without written authorisation
• Use our platform to transmit malware, phishing links, or any harmful content
• Impersonate Darsh IT Solutions Pvt. Ltd., its staff, or any other entity
• Post false, misleading, or defamatory reviews or claims about our products or services

We reserve the right to suspend or terminate access to any user who violates these terms without prior notice.

3 Products & Order Processing

All product listings, pricing, and availability are subject to change without prior notice. While we strive for accuracy, we do not guarantee that all product descriptions, specifications, or prices are error-free.

Order Confirmation: An order placed online or via enquiry form is an offer to purchase. It is confirmed only after we issue a written Purchase Order Acknowledgement (via email or official letterhead).

Order Cancellation: Orders may be cancelled within 24 hours of placement without charge. For imported or specially procured items, cancellation after the first 24 hours may attract a restocking or procurement fee (up to 15% of order value).

Custom & Project Orders: Scope of work, deliverables, and timelines for custom IT solutions will be documented in a signed agreement. Any change in scope after sign-off is subject to a Change Request process and may affect cost and timelines.

4 Payment Terms

Accepted Payment Modes: NEFT / RTGS / IMPS, UPI, Bank Cheque (cleared before dispatch), Demand Draft, and Cash (up to ₹1,99,999 per transaction as per Income Tax Act, Section 269ST).

Late Payment: Invoices not settled within the credit period attract interest at 2% per calendar month (24% per annum, compounded monthly) on the outstanding amount, along with recovery costs if applicable.

5 GST & Pricing

All prices displayed on this website are exclusive of GST unless explicitly stated as "GST inclusive." Applicable GST (5%, 12%, 18%, or 28%) will be added at checkout or on the final tax invoice based on the HSN/SAC code of the product or service.

We issue fully GST-compliant tax invoices for all transactions. TCS (Tax Collected at Source) under Section 206C is applicable on cash transactions above ₹50 lakh per year.

6 Warranty & Returns

Hardware: Warranty is provided as per the manufacturer's policy (typically 1–3 years onsite or carry-in). Darsh IT Solutions Pvt. Ltd. facilitates all warranty claims with the OEM on your behalf at no additional charge during the warranty period.

Software / Licensing: Activated or downloaded digital licences are non-refundable under any circumstances, unless the product key was not delivered or is provably defective.

Return Policy:

• Physical products must be returned within 7 calendar days of delivery in original, factory-sealed, undamaged condition with all accessories, manuals, and original packaging.
• Return requests must be initiated via email or WhatsApp with proof of purchase and photographs of the product condition.
• Return shipping is at the buyer's expense unless the product is defective, damaged in transit, or incorrect.
• Refunds are processed within 10–15 working days after inspection and approval, to the original payment source.

7 Delivery Policy

• Delivery timelines are estimates; we do not guarantee delivery dates and are not liable for courier delays.
• Risk of loss or damage passes to the buyer upon handover to the courier/delivery agent.
• Signature or OTP acknowledgement is required for all deliveries above ₹10,000.
• Delivery charges (if applicable) are shown at checkout and depend on weight, dimensions, and destination.

8 Intellectual Property

All content on this website — including the Darsh IT Services logo, brand name, product images, text, graphics, software, design layouts, and the overall look and feel — is the exclusive intellectual property of Darsh IT Solutions Pvt. Ltd. or its licensors.

You may not reproduce, modify, distribute, create derivative works of, publicly display, or commercially exploit any content from this site without prior written authorisation.

Third-party brand names, trademarks, and product images referenced on this site belong to their respective owners and are used for descriptive/identification purposes only. Darsh IT Solutions Pvt. Ltd. does not claim ownership of those marks.

9 Limitation of Liability

To the maximum extent permitted by applicable law, Darsh IT Solutions Pvt. Ltd. and its directors, employees, and agents shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Damage to systems or data arising from use of our products or services
• Delays, errors, or interruptions in our website or portal

Our maximum aggregate liability for any claim arising out of or relating to these terms, our website, or our products/services shall be limited to the amount paid by you for the specific transaction giving rise to the claim.

These limitations apply regardless of the form of action (contract, tort, negligence, or otherwise) and even if we have been advised of the possibility of such damages.

10 Privacy Policy

Your use of our website and portal is also subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, store, and protect your personal data in compliance with applicable Indian law including the Information Technology Act, 2000 and DPDP Act, 2023.

11 Governing Law & Dispute Resolution

These Terms of Use are governed by and construed in accordance with the laws of the Republic of India.

Any dispute arising out of or relating to these Terms, our products, or services shall first be attempted to be resolved amicably through written notice and good-faith negotiation within 30 days.

If unresolved, disputes shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Gaya, Bihar. The arbitrator's award shall be final and binding. Courts in Gaya, Bihar shall have exclusive jurisdiction for enforcement.

12 Modifications to Terms

We reserve the right to amend these Terms of Use at any time. Changes take effect immediately upon posting to this page. The "Last Updated" date at the top of this page reflects when changes were last made.

Your continued use of our website or services after changes are posted constitutes your acceptance of the revised terms. We recommend revisiting this page periodically.
